By creating a ShrinkDocs™ account, you agree to the following terms and conditions.
1. Service Description
ShrinkDocs™ is a cloud-based clinical EHR designed for therapists and mental health professionals. The service includes:
- Patient record management and session tracking
- AI-assisted clinical documentation through "Doc Wizard™"
- ShrinkDocs™ clinical assessments
- Automated patient feedback collection
- Progress tracking and reporting tools
2. HIPAA Compliance & Data Security
ShrinkDocs™ is designed to support HIPAA-compliant workflows:
- All patient data is encrypted in transit (TLS 1.3) and at rest (AES-256)
- Access is restricted to authenticated clinicians only
- ShrinkDocs™ maintains a signed Business Associate Agreement (BAA) with Google Cloud
- Patient data is stored in HIPAA-compliant Firebase/Google Cloud infrastructure
- Audit logs track all data access and modifications
- You, as the clinician, are responsible for maintaining appropriate safeguards in your practice
3. Your Responsibilities
As a subscribing clinician, you agree to:
- Maintain the confidentiality of your account credentials
- Ensure you have proper patient consent for data storage
- Use the platform only for legitimate clinical purposes
- Report any suspected security breaches immediately to support@shrinkdocs.io
- Comply with all applicable healthcare regulations in your jurisdiction
- Maintain current and accurate billing information
- Not share your login credentials with unauthorized individuals
4. AI-Assisted Clinical Documentation (Doc Wizard™)
ShrinkDocs™ provides AI-powered clinical documentation tools through "Doc Wizard™." These are intended as clinical decision support tools only:
- AI recommendations do not constitute medical advice
- Clinical judgment remains solely your responsibility
- Always verify AI suggestions against your training and patient needs
- AI features provide clinical documentation support
- ShrinkDocs™ is not liable for clinical outcomes based on AI recommendations
5. Free Trial
- New users receive a 30-day free trial with full access to all features
- No credit card is required to start the trial
- At the end of the trial, you must subscribe to continue using the service
- Trial data is preserved if you subscribe within 30 days of trial expiration
6. Subscription Plans & Pricing
ShrinkDocs™ Platform — $149/month
- Full platform access with unlimited patients and sessions
- Doc Wizard™ AI-assisted clinical documentation
- Patient portal with SMS and email feedback
- Assessments, outcome tracking, and reporting tools
- HIPAA-compliant cloud hosting
Doc Wizard™ Add-on — $49/month
- AI-powered clinical document generation
- Treatment plans, progress notes, diagnostic justifications
- Available as an optional add-on to the platform subscription
Additional Clinicians — $129/month each
- Add clinicians to your practice from account settings
- Each additional clinician receives full platform access
7. Billing & Payment
- Subscription fees are billed monthly to the payment method on file
- Payment is processed securely through Stripe
- ShrinkDocs™ does not store your full credit card number
- Billing occurs on the same date each month (based on your signup date)
- Failed payments will be retried; continued failure may result in service suspension
- You are responsible for keeping your payment information current
8. Cancellation & Refunds
- You may cancel your subscription at any time from your account settings
- Cancellation takes effect at the end of your current billing period
- No refunds are provided for partial months
- You retain access to your data for 90 days after cancellation
- Refund requests for extenuating circumstances may be submitted to support@shrinkdocs.io
9. Data Retention & Account Termination
- You may export your data at any time using the built-in export tools
- Upon account termination, data will be retained for 90 days before deletion
- You may request immediate data deletion in writing
- ShrinkDocs™ reserves the right to terminate accounts that violate these terms
- Terminated accounts may not be eligible for data export depending on circumstances
10. Price Changes
- ShrinkDocs™ reserves the right to modify pricing
- You will be notified at least 30 days before any price increase
- Continued use after notification constitutes acceptance of new pricing
- You may cancel before the new pricing takes effect
11. Intellectual Property Rights
- ShrinkDocs™, including its software, design, features, content, and documentation, is the exclusive property of ShrinkDocs™ and its licensors
- All trademarks, service marks, logos, and trade names (including "ShrinkDocs™" and "Doc Wizard™") are proprietary to ShrinkDocs™
- You are granted a limited, non-exclusive, non-transferable license to access and use the service for your clinical practice during your active subscription
- You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on ShrinkDocs™
- You may not use automated systems (bots, scrapers) to access the service without written permission
- Any feedback, suggestions, or improvements you provide may be used by ShrinkDocs™ without compensation or attribution
- Your patient data remains your property; ShrinkDocs™ claims no ownership over clinical data you enter
12. Software as a Service (SaaS) Terms
- ShrinkDocs™ is provided as a cloud-based Software as a Service (SaaS) platform
- You access the service via the internet; no software is installed on your devices
- We reserve the right to update, modify, or improve the service at any time without prior notice
- Service availability is targeted at 99.9% uptime, but is not guaranteed; scheduled maintenance will be communicated in advance when possible
- You are responsible for maintaining a compatible web browser and internet connection
- The service is provided for professional clinical use only; consumer or personal use is not permitted
- You may not sublicense, resell, or share your account access with third parties outside your practice
- API access, if provided, is subject to rate limits and acceptable use policies
13. Prohibited Uses
You agree NOT to:
- Use the service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the service or its related systems
- Transmit any malware, viruses, or other malicious code
- Interfere with or circumvent any security features of the service
- Share your account credentials with others or allow unauthorized access
- Misrepresent your identity or affiliation with any person or organization
- Use the service to store or transmit content that infringes on any third party's intellectual property rights
- Engage in any activity that could damage, disable, or impair the service
14. Third-Party Services
ShrinkDocs™ integrates with the following third-party services:
- Google Cloud/Firebase (data storage and hosting)
- Stripe (payment processing)
- Twilio (SMS notifications)
- Anthropic (AI features)
Your use of these integrated services is subject to their respective terms and privacy policies. ShrinkDocs™ is not responsible for the actions or policies of third-party service providers.
15. Limitation of Liability
ShrinkDocs™ is provided "as is" without warranty of any kind, express or implied. We are not liable for:
- Clinical outcomes resulting from use of the service or AI recommendations
- Data loss beyond our reasonable control
- Service interruptions or downtime
- Any indirect, incidental, special, consequential, or punitive damages
Our total liability shall not exceed the amount paid by you in the 12 months preceding any claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless ShrinkDocs™, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the service
- Your violation of these terms
- Your violation of any applicable laws or regulations
- Any claim that your use of the service caused damage to a third party
17. Privacy Policy
Your personal information (name, email, address, payment details) is used solely for account management, billing, and service delivery.
- Payment information is processed and stored securely by Stripe
- ShrinkDocs™ does not store your full credit card number
- We do not sell or share your information with third parties except as required to provide the service or comply with legal obligations
- Patient data is protected under HIPAA and our Business Associate Agreement

18. Modifications to Terms
- ShrinkDocs™ may modify these terms at any time
- Material changes will be communicated at least 30 days in advance via email
- Continued use of the service after changes take effect constitutes acceptance
- If you do not agree to modified terms, you must cancel your subscription
19. Governing Law
These terms are governed by the laws of the State of Oregon, USA. Any disputes shall be resolved in the courts of Jackson County, Oregon.
20. Dispute Resolution
- Any disputes arising from these terms or your use of the service shall first be addressed through good-faith negotiation
- If negotiation fails, disputes shall be resolved through binding arbitration in Jackson County, Oregon
- You waive any right to participate in class action lawsuits against ShrinkDocs™
21. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
22. Waiver
The failure of ShrinkDocs™ to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
23. Entire Agreement
These Terms of Service, together with the Business Associate Agreement, constitute the entire agreement between you and ShrinkDocs™ regarding the use of the service and supersede all prior agreements and understandings.
